Private Equity

Introduction
The Private Equity Practice Area offers clients trusted, market-leading, tailor-made legal advice, as a result of a legal service which is unique in its breadth and depth, a vast track record, and in-depth knowledge of the Italian entrepreneurial context across almost all industries and sectors of the economy.

For over three decades, leading private equity operators have benefited from the Firm's expertise in carrying out their investment operations and implementing their strategies. Today, these skills are provided to all types of private equity managers, from those operating in the small/mid-cap segment to global private equity leaders, dealing with a wide range of investments, in Italy and abroad, in all asset classes.

The legal knowledge within the Private Equity Practice Area includes the entire life cycle of funds, from formation to buyouts (including legal due diligence in any industry and sector, including regulated ones), minority investments, take-private deals, divestments, and exits (also through IPOs).

Involvement in the leading private equity deals in the market gives the Firm a comprehensive understanding of sector dynamics and allows it to be constantly up to date on the most innovative investment structures and the latest trends. The Firm can therefore anticipate issues, providing value-added legal advice that ensures smooth, efficient execution.

The Firm’s modular structure allows the dedicated private equity group to involve interdisciplinary teams, composed of professionals capable of efficiently managing extremely complex situations. In this way, the Firm also integrates its expertise in mergers and acquisitions (M&A) with its solid acquisition finance team, covering both bank financing and capital markets transactions.

The team’s professionals are leaders in various fields, including domestic and international taxation, labour law, advice to management teams, corporate governance and ESG consulting, intellectual property and litigation.

Thanks to long-established relationships with the various regulatory and supervisory authorities — dealing with, among other things, the supervision of financial institutions and listed companies, antitrust regulations, golden powers and, more recently, the regulations on foreign subsidies — the Practice Area is exceptionally well placed to support private equity funds in any investment or strategy that requires dialogue with Italian/EU authorities and/or the obtaining of necessary authorizations.
