Introduction
Chiomenti has a consolidated experience in the field of extraordinary transactions and corporate law, gained through assisting leading Italian and international industrial and financial groups, as well as the main institutions in our country in the most significant operations in the post-war period.

 

The Firm has continuously played a central role in corporate law matters since the 1950s. Firstly, in the formation and growth, through mergers and acquisitions, of the main national industrial groups and the entry of major multinational groups into Italy. Secondly in the internationalization of the principal national industrial operators, and thirdly — starting from the first half of the 1990s — in the privatization of the main Italian public companies and their subsequent extraordinary transactions (mergers, changes of control, public tender offers).

 

To best address the complexity of extraordinary transactions and the different phases comprising them, corporate legal assistance is provided in close collaboration with the other professional areas of the Firm, so as to address and manage the public law profiles, the implications arising from financing needs and/or the financial structure of the transaction, and related labour law issues, tax aspects, and antitrust and regulatory implications.

 

With its structured group of professionals, Chiomenti assists Italian and foreign clients in Public M&A, and publicly controlled companies, banks, insurance companies, and other supervised entities. In particular, the Firm provides legal assistance to its clients on share purchase transactions, mergers and spin-offs, commercial contracts of supervised entities, public tender offers and share for share exchanges, IPOs and capital increases, and other extraordinary transactions of supervised entities.
