The Equity Capital Markets Practice Area has a broad and solid market knowledge, gained through years of assisting listed issuers, placement and underwriting syndicates and guarantors, as well as leading financial advisors in major corporate and financial extraordinary transactions, both Italian and cross-border.
The team has specific expertise in IPOs, capital increases, tender and exchange offers, public sales of shares and other financial instruments (equity and debt, including convertible), mergers and demergers involving listed companies, and private placements aimed at Italian and foreign institutional investors, assisting the bidders, target companies, and financial institutions involved on each occasion.
Moreover, the Firm also provides assistance in corporate governance matters for listed companies, in the drafting and review of internal company procedures, policies, and regulations (including the management of price-sensitive information and related-party transactions), and offers ongoing assistance to corporate bodies and endo-consiliar committees.
